Six lodges, twelve guests, four programs.
BAGHI is a small wellness retreat designed for no more than twelve guests at any time, across six lodges (four Tent Lodges, two Barn Lodges). Four restorative programs — Destress, Fitness, Energizing, Detox — shaped on arrival around each guest's body, sleep, breath and blood-marker context.
The property sits at the highest point of Erge village, a traditional Adjarian mountain settlement fifteen minutes by road from Batumi International Airport.

Adjara, Georgia · 15 minutes from Batumi.
South-facing slope, forest on three sides, bamboo grove behind, the Chorokhi river below, the Black Sea visible from the upper terrace on clear evenings. The slope hears birdsong before dawn, the call to prayer from the village mosque five times a day, and the waterfall a kilometre up the valley.
Batumi International is served by direct flights from Istanbul, Dubai, Tel Aviv, Warsaw, Berlin, Vienna and other corridors. Georgia is visa-free for 95+ countries.

- Destress — silence, slowness, low stimulation. A reset for the nervous system. For guests arriving in burnout.
- Fitness — strength, conditioning, recovery. For guests who train daily and refuse to lose rhythm on holiday.
- Energizing — breath, contrast, sunlight. A return of baseline energy via sunrise breathwork and contrast therapy.
- Detox — light, plant-led, nutrition reset. Designed against blood markers shared in advance.
All-inclusive. Three or five nights. Anti-inflammatory menu. In-Lodge spa. Concierge from flight share to return car.

Direct equity in the LLC. No SPV.
Baghi Collection LLC is a Georgian limited-liability company registered in Batumi, holding the land, the buildings and the brand. Investors enter directly as named partners with equity — no SPV, no fund layer, no convertible note.
Land transfers into the LLC at closing, after the agricultural-to-business status conversion (already under way). Founders are Ilyan Vladimirov (operating) and Avtandil Iremadze (managing partner / land).

Six things, written down.
- Equity in the LLC — proportional to contributed capital.
- Preferred return — original ticket returned ahead of founder operating distributions until fully paid back.
- Distributions from operating cash flow once steady occupancy is reached (target 2028).
- Reserved matters — sale of the property, major debt, change of brand — require partner consent.
- A name on the founders' list — engraved at the reception entrance.
- Lifetime family rate for stays at BAGHI.

- Ilyan Vladimirov — Founder. 15 years in Dubai luxury hospitality. Producer of 1,000+ launches. Founder of Eleven Spa at Marriott Al Jaddaf.
- Avtandil Iremadze — Managing partner. Holds the land. Oversees relationships with the Georgian municipality.
- Zhanna Kira — Infrastructure partner. President of the Association of Glamping. Founder of MESTO architectural bureau and co-founder of Wild House.
- Hani Khenniche — Operations. End-to-end guest journey: reception, transfers, daily flow.

Three quiet options.
- Refinance into local debt after operational stabilisation (typically 18–24 months post soft opening).
- Trade sale to a regional hospitality operator. The wellness sector in the Caucasus is in early consolidation; BAGHI is well-positioned as a trophy asset.
- Founder-led buyout at an agreed multiple — option held by Ilyan to repurchase partner equity after Year 5.
No forced exit. The LLC structure does not auto-trigger a sale. Partners may also hold indefinitely and receive distributions.
